1. Service Description

OpenMV Cloud is a fleet management and over-the-air update service provided by OpenMV LLC for OpenMV hardware products. It allows authorized users to publish signed software releases, deliver them to their devices, and monitor their fleet, including security advisories for the software their devices run.

2. Eligibility and Account Access

To use this service, you must:

• Be an authorized representative of the organization whose devices you manage
• Sign in through a supported identity provider with accurate information
• Maintain the security of your identity provider account

3. Acceptable Use

You agree to use this service only for its intended purpose: managing, updating, and monitoring OpenMV devices operated by your organization.

Prohibited activities include:

• Managing or attempting to bind devices you are not authorized to manage
• Publishing or distributing software you do not have the right to distribute
• Distributing software intended to harm devices, people, or other systems
• Attempting to circumvent security measures, signing requirements, or access controls
• Automated scraping, data harvesting, or bulk data extraction
• Any activity that could harm the service or other users

4. Your Software and Your Devices

The software you publish through this service is yours, is signed with your keys, and is installed on devices you operate. You are solely responsible for:

• The content, quality, and licensing of the software you distribute
• The custody of your signing keys
• Compliance of the products you ship with the laws and regulations that apply to them, including product security regulation
• Acting on security advisories for software your fleet runs — the service surfaces findings; remediation decisions are yours

5. Fees and Billing

The service may include paid plans, billed through Stripe under the pricing presented to you. Fees are exclusive of taxes. Downgrading or cancelling takes effect per the terms of the plan.

6. Data Ownership

You retain ownership of your device data, releases, and other content you submit. OpenMV LLC retains the right to use aggregate, anonymized data for product analytics and service improvement.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The service may be temporarily unavailable due to:

• Scheduled maintenance
• Emergency updates or security patches
• Infrastructure issues beyond our control

Devices are designed to tolerate service unavailability: updates resume on later check-ins, and installed software keeps running.

8. Limitation of Liability

This service is provided "as-is" without warranties of any kind. OpenMV LLC shall not be liable for:

• Data loss or corruption
• Service interruptions or downtime
• The behavior or consequences of software you choose to distribute to your devices
• Indirect, incidental, or consequential damages
• Loss of business or profits related to service use

9. Account Termination

We reserve the right to suspend or terminate accounts that:

• Violate these Terms of Service
• Engage in fraudulent or abusive behavior
• Pose a security risk to the service or other users

You may request account deletion at any time by contacting support. After termination, your data is deleted in accordance with our closure process; deleted accounts cannot be recovered.

10. Changes to Terms

We may modify these Terms of Service at any time. Continued use of the service after changes constitutes acceptance of the modified terms. Material changes will be communicated via email or system notification.

11. Governing Law

These terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of the jurisdiction where OpenMV LLC is registered.

13. Entire Agreement
